General Terms of Use ("TOS")

1. Scope

1.1

These General Terms of Use ("TOS") apply to all contracts between Zentrigo Consulting AB, Org.no: 559390-1183, LÖVÄNGSGATAN 12 LGH 1001, 115 44 Stockholm, Sweden ("Nora") and customers of Nora. "Customer" refers to any person or entity that uses, orders, or subscribes to Nora's products or services. Together, Nora and the Customer are the "Parties," and each individually is a "Party."

1.2

These TOS also apply to future contracts between Nora and the Customer without the need for a specific reference. They are confirmed by the Customer at the latest when an order is placed or the product is used.

1.3

These TOS exclude all other terms and conditions. Deviating, contradictory, or supplementary terms from the Customer only become part of a contract if Nora agrees in writing.

1.4

Individual written agreements with the Customer take precedence over these TOS.

1.5

"Written" or similar terms refer to the written form as defined by Swedish law, including electronically exchanged copies and documents with qualified electronic signatures.

1.6

All terms in small caps in these TOS have the meanings defined herein.

2. Nora Services

2.1

Nora grants the Customer access to its software during the term and within the scope of the order.

2.2

The "Product" includes language learning software and the app setup for using said software.

2.3

The scope of using the product is divided into different categories: (i) Use with a user account, without membership - limited use and functions. (ii) Use with a user account, with membership - limitations and premium functions depending on membership.

2.4

Data processing by Nora is explained in the Privacy Policy.

2.5

Nora reserves the right to add features, adjust, restrict, or remove existing functions for data security, technical necessities, or legal changes, provided the adjustment is reasonable for the Customer. Nora will inform the Customer in writing (email is sufficient) of such changes.

2.6

Further services such as consulting, individual development, or training require explicit written agreement.

2.7

Nora may commission third parties to fulfill contractual obligations.

3. User Account and Order Completion

3.1

To use the Product as set out in Clause 2.3 (i) and (ii), the Customer must create a user account by accepting these Terms, entering personal data, and setting a password or using an existing third-party platform account. Verification of the email address is required.

3.2

Nora reserves the right to deactivate and delete unverified user accounts within 3 days.

3.3

Customers must be at least eighteen (18) years old to create a User Account. Minors aged fourteen (14) and above may create a User Account with written consent from legal representatives. Proof of identity and age may be requested.

3.4

Membership orders are placed via the Customer's user account. Quotations from Nora are not binding. The order process involves selecting options, reviewing data, choosing payment methods, accepting terms, and submitting the order. The contract is concluded upon Nora's confirmation email.

3.5

Nora reserves the right to refuse orders and will inform the Customer during the order process.

3.6

Customers can change or cancel orders until the order button is clicked.

3.7

Nora provides services immediately after order confirmation.

4. Copyright and Intellectual Property

4.1

Nora grants a non-exclusive, non-transferable, non-sublicensable right to use the Products and related documentation for the duration and scope of the Order.

4.2

Customer-generated content remains with the Customer. However, Nora is granted a non-exclusive, worldwide right to use, store, modify, process, translate, and transmit such content solely for providing the Services.

5. Customer Obligations

5.1

Customers may use the Product only for language learning or general entertainment and must not use it for illegal or immoral purposes.

5.2

Access data must be kept secure and not shared with third parties unless necessary for the intended use of the Product. Resale or unauthorized sharing of access is prohibited.

5.3

Customers indemnify Nora against third-party claims arising from a breach of contractual provisions, including legal defense costs. Nora will inform the Customer of such claims and may leave the defense to the Customer.

5.4

If using third-party applications, the Customer must comply with applicable usage guidelines.

5.5

Customers must use the Product in accordance with applicable laws.

6. Remuneration

6.1

Customers must pay the membership fees agreed upon in the Order. Payments must be made in full, inclusive of VAT or sales tax unless stated otherwise.

6.2

Payments can be made by credit card. In-app purchases require confirmation with the appropriate payment provider, and the selected payment method will be charged.

6.3

Entities not end-users may have fees invoiced by Nora upon written agreement.

6.4

Statements are provided digitally and accessed via the Customer's user account.

6.5

Nora reserves the right to reduce access to the free version if fees are unpaid after seven (7) days of written notification. Full access is restored upon payment.

7. Term and Termination

7.1

Membership terms vary from one (1) month to twelve (12) months, based on Customer preference.

7.2

Membership can be terminated by either party at any time, effective at the end of the billing period. Terms automatically renew unless cancelled.

7.3

Statutory termination rights for good cause remain unaffected. Termination for cause must be in writing and is effective upon receipt.

7.4

Nora may temporarily suspend access for serious breaches of these TOS with prior written notice. Access is restored if the breach is resolved or if a binding declaration is made to prevent recurrence.

7.5

In cases of suspected fraud, Nora may suspend access immediately and indefinitely, informing the Customer in writing.

8. Privacy

8.1

Personal data processing by Nora is explained in the Privacy Policy.

9. Warranties

9.1

Nora warrants that the Products will perform essential functions as described in the current documentation. Efforts will be made to modify Products to conform to documentation. If functionality cannot be restored within thirty (30) days of written notice, the Customer may terminate and receive a pro rata refund for unused access.

9.2

Nora strives to ensure 95% availability of Products annually, excluding maintenance and uncontrollable factors. Advance notice of scheduled interruptions will be provided.

9.3

User-side access requirements, such as internet access, are not guaranteed by Nora, and failures in the Customer's connection or system are not Nora's liability.

10. Limitation of Liability

10.1

Nora's liability is limited to damages caused by gross negligence and intent.

10.2

Nora accepts no liability for statements made by the Product, as it operates using artificial intelligence, which may evolve based on user input.

10.3

Nora is liable for data loss only up to the typical costs of recovery, assuming proper and regular backups by the Customer.

10.4

Liability is limited to one hundred fifty percent (150%) of the total fees paid or payable under the affected Order.

10.5

Nora is not liable for the Customer's language learning progress or success through Product use.

10.6

Neither party is liable for failures or delays due to force majeure.

11. Adaptation of the TOS

11.1

Nora may change these TOS for valid reasons, considering both parties' interests. Valid reasons include technical or legal changes or new functions requiring contractual adjustments.

11.2

Amendments are communicated to the Customer at least fourteen (14) days before the effective date, with a period for objection. Failure to object results in deemed approval. If the Customer objects, either party may terminate without notice.

12. Other

12.1

Invalid provisions do not affect the validity of the remaining TOS. Parties will replace invalid provisions with effective ones that closely match the intended purpose.

12.2

Contracts are governed by Swedish substantive law.

12.3

The exclusive place of jurisdiction for non-consumer Customers is the competent court at Nora's registered office.
